Contributor License Agreement - Everywhere ​

This Contribution License Agreement ("Agreement") is agreed to by the party signing below or confirming agreement via electronic means ("You"), and conveys certain license rights to Sylinko Inc. (including its founders and promoters during the entity formation period, collectively "Sylinko") for Your contributions to Sylinko open-source projects. This Agreement is effective as of the date You Submit a Submission.

  1. Definitions
  • "Code" means the computer software code, whether in human-readable or machine-executable form, delivered by You to Sylinko under this Agreement.
  • "Project" means the "Everywhere" project.
  • "Submit" is the act of uploading, submitting, or distributing code or other content to any Project, including via GitHub Pull Requests, issue trackers, or electronic mailing lists managed by Sylinko.
  • "Submission" means the Code and any other copyrightable material Submitted by You.

  1. Your Submission This Agreement covers any and all Submissions that You, now or in the future, Submit to any Project. You must agree to these terms before Your Submission can be accepted.

  2. Originality of Work You represent that each of Your Submissions is entirely Your original work. Should You wish to Submit materials that are not Your original work, You must clearly identify the third-party source and any applicable licenses/restrictions in your Submission description.

  3. Your Employer If Your Submission is made in the course of Your work for an employer, or if Your employer has intellectual property rights in Your Submission, You represent that You have secured permission from Your employer before signing this Agreement. In such cases, "You" refers to both You and Your employer.

  4. Licenses

  • a. Copyright License. You grant Sylinko, and those who receive the Submission from Sylinko, a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license to reproduce, prepare derivative works of, publicly display, distribute, and sublicense (including under multiple license tiers such as BSL 1.1 and Apache 2.0) the Submission and such derivative works.
  • b. Patent License. You grant Sylinko a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license under Your patent claims to make, use, sell, and import the Submission.
  • c. Other Rights Reserved. Each party reserves all rights not expressly granted herein.

  1. Representations and Warranties You represent that You are legally entitled to grant the above licenses and have secured all necessary permissions. THE SUBMISSION IS PROVIDED "AS-IS" WITHOUT WARRANTY OF ANY KIND, INCLUDING NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE.

  2. Information about Submissions You agree that contributions to Projects and information about contributions (including Your name and GitHub ID) may be maintained indefinitely and disclosed publicly.

  3. Governing Law/Jurisdiction This Agreement is governed by the laws of the State of Delaware, USA, without regard to its choice of law provisions. Any legal action shall be brought exclusively in the courts sitting in Delaware.

  4. Entire Agreement/Assignment This Agreement is the entire agreement between the parties. Sylinko may assign this Agreement without restriction.
